Merchant Terms of Service (Aggregator Agreement)

1. Subject of the Agreement

This Agreement is concluded between Cleveland Data Services Limited ("Provider", "we") and the legal entity or individual entrepreneur ("Merchant", "you") using our technical platform to process payments for digital goods and services.


2. Scope of Services

The Provider provides a technical interface (Gateway) that allows the Merchant to accept payments from customers for the following categories:


Middle Risk: Digital entertainment (Lootboxes), Dating services, IPTV, SMS-services, VPN, and Proxy services.


Low Risk: Video games, In-game assets (Skins), Digital subscriptions (TG Stars/Premium), and Hosting/VDS.


3. Merchant Obligations & Compliance

Legal Compliance: The Merchant must hold all necessary rights and licenses for the goods/services sold.


Prohibited Content: The Merchant is strictly prohibited from using the Provider’s services for illegal activities, including but not limited to child pornography, unlicensed gambling, or unlicensed financial services.


Transparency: The Merchant’s website must clearly display prices, description of goods, and a Refund Policy.


4. Settlement & Fees

Transaction Fees: The Provider deducts a processing fee (MDR) from each transaction as agreed in the Tariff Schedule.


Payouts: Funds are settled to the Merchant’s balance after the agreed holding period (e.g., T+3).


Rolling Reserve: The Provider may apply a rolling reserve (e.g., 5-10%) to cover potential chargebacks and refunds.


5. Chargebacks and Refunds

The Merchant is solely responsible for managing customer disputes and chargebacks.


In the event of a chargeback, the Provider will deduct the transaction amount plus a processing fine from the Merchant's balance.


High chargeback rates (above 1%) may lead to immediate suspension of the Merchant's account.


6. Anti-Money Laundering (AML) & KYC

The Provider performs mandatory Due Diligence on every Merchant. We reserve the right to request proof of source of funds, business incorporation documents, and identity verification of beneficial owners.


7. Limitation of Liability

The Provider acts strictly as a technical intermediary. We are not responsible for the quality, legality, or delivery of the goods/services provided by the Merchant to the end-user.


8. Termination

Either party may terminate this agreement with 30 days' written notice. In case of a breach of AML policies or high fraud levels, the Provider may terminate the service immediately.


9. Governing Law

This agreement is governed by the laws of England and Wales. All disputes shall be settled in the courts of London.
